1. Who We Are
These Terms of Service ("Terms") govern your use of the website at https://tryreplyy.com and any subdomains ("Website"), operated by Girik Varma and Suyash Verma, trading under the name Replyy AI ("we", "us", "our").
By accessing or using the Website, you agree to these Terms. If you do not agree, do not use the Website.
2. Nature of the Website and Service
2.1 Informational Website Only
This Website is informational and marketing in nature. It is not a self-serve platform and does not allow you to purchase, subscribe to, or activate any services directly.
No service agreement is formed by visiting this Website, submitting a contact form, or booking a demo call. A binding service engagement with Replyy AI is only established through a separately negotiated and signed written agreement between you and Replyy AI.
2.2 We Are an Agency, Not a SaaS Product
Replyy AI provides done-for-you AI appointment-setting services for Instagram and WhatsApp Direct Messages. We are a managed agency — we configure, deploy, and operate AI-powered DM automation on behalf of clients. Clients do not receive access to self-serve software tools or a licensable platform.
All infrastructure, AI agents, system prompts, and configurations are owned and managed by Replyy AI. Access to our client dashboard and onboarding portal is granted only as part of a signed client agreement.
2.3 No Consumer Self-Service
Our services are not offered to the general public on a consumer basis. Services are offered exclusively to businesses and professionals (coaches, consultants, service businesses) following a sales consultation and signed engagement agreement.
3. Eligibility
To use this Website, you represent that:
- You are at least 18 years of age.
- You are accessing the Website for professional or business purposes.
- You have the legal authority to enter into agreements on behalf of any business you represent.
- Your use of the Website does not violate any applicable law or regulation.
4. Website Use — Acceptable Use
You agree not to:
- Use the Website for any unlawful purpose or in violation of any applicable law.
- Attempt to gain unauthorised access to any part of the Website, our servers, or any connected systems.
- Transmit any malicious code, viruses, or harmful content.
- Scrape, crawl, or systematically extract Website content without our written permission.
- Misrepresent your identity or impersonate any person or business.
- Use the Website in any way that could damage, overburden, or impair our systems.
- Reproduce, duplicate, copy, sell, or exploit any portion of the Website without our express written permission.
5. Service Terms (Client Engagements)
The following terms apply to businesses who engage Replyy AI under a signed client agreement. If you are a website visitor only (not a client), Sections 2–4 and 7–12 apply to you.
5.1 Scope of Service
The scope of services provided to each client is defined in the individual written agreement signed between Replyy AI and the client. The Website describes our service capabilities in general terms; the specific deliverables, timelines, and obligations for any engagement are governed solely by the signed agreement.
5.2 Agency-Delivered Service
Clients acknowledge that:
- Replyy AI manages all AI infrastructure, system prompts, and agent configurations on the client's behalf.
- The client provides necessary access credentials (Instagram and/or WhatsApp account, booking platform) via our onboarding portal.
- The AI agent responds to DMs on behalf of the client's Instagram and/or WhatsApp account using configurations approved by the client.
5.3 AI Disclosure
Clients acknowledge and agree that:
- All DM responses sent from the client's Instagram account via Replyy AI's service are generated by an artificial intelligence system, not by a human appointment setter.
- The AI agent is trained on scripts, tone, and qualification criteria provided by the client and Replyy AI.
- Replyy AI makes no representation that the AI agent will be indistinguishable from a human or that leads will be aware they are communicating with an AI system.
- Clients are solely responsible for ensuring their use of AI-generated DM responses complies with all applicable laws, regulations, and platform terms of service, including Meta's Platform Terms.
5.4 Client Credential Handling
Clients grant Replyy AI limited, revocable authority to access their Instagram and/or WhatsApp account and booking platform accounts solely for the purpose of delivering the appointment-setting service. Clients represent that they have the authority to grant this access.
All credentials are stored encrypted (AES-256-GCM) and are deleted within 30 days of service termination.
5.5 Instagram, WhatsApp, and Meta Platform Compliance
Our service operates via one of two integration routes for each client: (a) the Zernio API, which wraps Meta's Instagram Graph API and WhatsApp Business API, or (b) Meta's Graph API directly, using OAuth-issued access tokens. Clients are responsible for:
- Ensuring their Instagram and/or WhatsApp account is in good standing and meets Meta's eligibility requirements.
- Complying with Instagram's Community Guidelines, WhatsApp Business Solution Terms, and Meta's Platform Terms of Use.
- Not directing Replyy AI to send content that violates Meta's Platform Terms.
- For WhatsApp: ensuring use of approved message templates and respecting the 24-hour customer service window where applicable.
Replyy AI operates by replying to existing inbound DM conversations only. We do not initiate cold first-contact outbound messages via the Instagram or WhatsApp APIs, as this is against Meta's Platform Terms. Outbound first-contact automation (story reply triggers, comment-to-DM flows, keyword automations) is handled separately by the client or by the agency through ManyChat or similar tools, in accordance with those platforms' terms.
5.6 Data and Lead Privacy
Clients are the Data Controllers for their leads' personal data. By engaging Replyy AI, clients represent that:
- They have a lawful basis to process their leads' Instagram and/or WhatsApp DM data.
- Their leads have not expressly opted out of automated messaging.
- They will inform Replyy AI of any applicable data protection obligations relevant to their jurisdiction or audience.
Replyy AI processes lead data solely as a Data Processor, in accordance with the client's instructions and our Privacy Policy.
5.7 Payment Terms
Payment terms, commission structures, and invoicing arrangements are defined in the individual written agreement between Replyy AI and each client. This Website does not publish fixed pricing, as engagements are structured on a case-by-case basis.
Replyy AI does not process payments through this Website. Payment instructions will be provided directly as part of the signed engagement.
5.8 Termination of Service
Either party may terminate a service engagement in accordance with the notice provisions in the signed client agreement. Upon termination:
- Agent access to client credentials will be revoked within 48 hours.
- Encrypted credentials will be permanently deleted within 30 days.
- Client and lead data will be deleted within 30 days unless a longer retention period is required by law.
- Replyy AI will provide reasonable cooperation to transition the client's Instagram and/or WhatsApp account back to manual or alternative management.
6. Intellectual Property
6.1 Our Property
All content on this Website — including text, graphics, logos, page layouts, and the Replyy AI name and brand — is owned by or licensed to Replyy AI and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.
6.2 Our Technology
All software, AI configurations, system prompts, agent architectures, infrastructure templates, and operational workflows developed or used by Replyy AI to deliver its services are proprietary to Replyy AI. Engaging our services does not grant clients any licence to or ownership of our underlying technology.
6.3 Client-Provided Content
Any scripts, brand guidelines, qualification criteria, or messaging templates provided by clients remain the intellectual property of the client. Replyy AI uses this content solely to configure and deliver the service and does not claim ownership over it.
7. Disclaimer of Warranties
The Website and all content on it are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that:
- The Website will be uninterrupted, error-free, or free of viruses or harmful components.
- Any information on the Website is complete, accurate, or current.
- Use of our services will result in any specific business outcome, including a particular number of booked calls, qualified leads, or revenue.

8. Limitation of Liability
To the maximum extent permitted by applicable law, Girik Varma and Suyash Verma (trading as Replyy AI) shall not be liable to you for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Website or our services, including but not limited to loss of revenue, loss of data, loss of business, or loss of goodwill, even if advised of the possibility of such damages.
Our total aggregate liability to any party for any claim arising from these Terms or our services shall not exceed the total fees paid by that party to Replyy AI in the three (3) months preceding the claim.
9. Indemnification
You agree to indemnify and hold harmless Replyy AI and its operators, partners, and contractors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of the Website in violation of these Terms.
- Your breach of any representation or warranty in these Terms.
- Your use of our services in a manner that violates applicable law or third-party rights, including Meta's Platform Terms.
- Any claim by a lead or third party arising from your instructions to Replyy AI.
10. Third-Party Links and Services
The Website may contain links to third-party websites or refer to third-party services (e.g., Calendly, Instagram, ManyChat). These are provided for convenience only. We do not endorse and are not responsible for the content, privacy practices, or terms of any third-party services.
11. Changes to These Terms
We may update these Terms periodically. When we do, we will update the "Last Updated" date at the top of this page. Continued use of the Website after changes constitutes acceptance of the updated Terms. For material changes affecting active client agreements, we will notify clients directly.
12. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India, including the Indian Contract Act 1872 and the Information Technology Act 2000, without regard to conflict of law principles.
Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be submitted to the exclusive jurisdiction of the courts of Nagpur, Maharashtra, India.
